Agreement Overview

These Terms of Service ("Terms") govern your use of Adaapt.AI's enterprise AI platform and services. By accessing or using our services, you agree to be bound by these Terms and our Privacy Policy.

1. Acceptance and Scope

1.1 Agreement Formation

By creating an account, accessing our platform, or using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and all applicable policies.

1.2 Enterprise Agreement

For enterprise customers, these Terms may be supplemented by a separate Master Service Agreement (MSA) or Enterprise License Agreement. In case of conflict, the enterprise agreement takes precedence.

1.3 Authority

You represent that you have the authority to bind your organization to these Terms if you are acting on behalf of an entity.

1.4 Modifications

We may modify these Terms at any time. Material changes will be communicated with 30 days' notice. Continued use constitutes acceptance of modified Terms.

2. Service Description

2.1 Platform Services

  • AI Analytics: Advanced data processing and predictive analytics
  • Workflow Automation: Intelligent process automation and optimization
  • Voice AI: Natural language processing and conversational AI
  • Integration Hub: Enterprise system connectivity and data synchronization
  • Predictive Intelligence: Risk assessment and forecasting capabilities

2.2 Service Levels

Our platform is designed for enterprise use with 99.9% uptime SLA, 24/7 monitoring, and enterprise-grade security. Specific service levels are detailed in your service agreement.

2.3 Beta Features

Beta or experimental features may be made available and are provided "as is" without warranties. We may discontinue beta features at any time.

3. User Accounts and Access

3.1 Account Creation

  • Provide accurate, complete, and current information
  • Maintain the security of your account credentials
  • Promptly notify us of any unauthorized access
  • Accept responsibility for all activities under your account

3.2 User Roles and Permissions

Account administrators may assign roles and permissions to users within their organization. Users are responsible for actions taken with their assigned permissions.

3.3 Account Termination

Either party may terminate an account with appropriate notice as specified in the service agreement. We reserve the right to suspend accounts for violations of these Terms.

4. Acceptable Use Policy

4.1 Permitted Use

You may use our services for lawful business purposes in accordance with these Terms and applicable laws.

4.2 Prohibited Activities

You may NOT use our services to:

  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights
  • Attempt unauthorized access to systems or data
  • Distribute malware or harmful code
  • Engage in fraudulent or deceptive practices
  • Process illegal or inappropriate content
  • Reverse engineer or attempt to extract algorithms
  • Overload or disrupt our infrastructure

4.3 Content Standards

All data processed through our platform must comply with applicable laws and industry standards. You are responsible for ensuring your data is appropriate and legally compliant.

5. Data and Privacy

5.1 Your Data Ownership

You retain all rights to your data. We process your data solely to provide our services and as described in our Privacy Policy and Data Processing Agreement.

5.2 Data Security

  • End-to-end encryption for data in transit and at rest
  • SOC 2 Type II compliance and regular security audits
  • Role-based access controls and multi-factor authentication
  • Regular backups and disaster recovery procedures

5.3 Data Processing

Our AI models may process your data to provide insights and automation. We do not use your data to train models available to other customers unless explicitly agreed upon.

5.4 Data Retention and Deletion

Data retention periods are specified in your service agreement. Upon termination, we will delete or return your data as requested, subject to legal retention requirements.

6. Intellectual Property

6.1 Adaapt.AI IP

We retain all rights to our platform, algorithms, software, and related intellectual property. You receive a limited, non-exclusive license to use our services.

6.2 Customer IP

You retain ownership of your data, content, and any pre-existing intellectual property. You grant us limited rights to process your data to provide our services.

6.3 Feedback and Suggestions

Any feedback or suggestions you provide about our services may be used by us without restriction or compensation.

6.4 DMCA Compliance

We respond to valid copyright notices under the Digital Millennium Copyright Act. Contact us at legal@adaapt.ai for copyright concerns.

7. Payment and Billing

7.1 Fees and Payment

  • Fees are as specified in your service agreement or pricing page
  • Payments are due according to agreed billing cycles
  • All fees are non-refundable except as expressly stated
  • Late payments may incur additional charges

7.2 Price Changes

We may change pricing with 30 days' notice for new billing periods. Enterprise customers may have different notice periods as specified in their agreements.

7.3 Taxes

Fees exclude applicable taxes, duties, and assessments, which are your responsibility unless we are legally required to pay them.

7.4 Suspension for Non-Payment

We may suspend services for accounts with overdue payments after appropriate notice and opportunity to cure.

8. Service Levels and Support

8.1 Service Level Agreement

  • Uptime: 99.9% availability target
  • Performance: Response times as specified in SLA
  • Support: Business hours support with enterprise escalation
  • Maintenance: Scheduled maintenance with advance notice

8.2 Support Channels

Support is available through our platform, email (support@adaapt.ai), and phone for enterprise customers. Response times vary by support tier.

8.3 Service Credits

Service credits may be available for SLA breaches as detailed in your service agreement.

9. Disclaimers and Limitations

9.1 Service Warranties

DISCLAIMER:

Our services are provided "AS IS" and "AS AVAILABLE." We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.

9.2 AI Limitations

AI-generated insights and recommendations should be reviewed and validated by qualified professionals. We do not guarantee the accuracy or completeness of AI outputs.

9.3 Limitation of Liability

Our liability is limited to the amount paid by you in the 12 months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages.

9.4 Force Majeure

We are not liable for delays or failures due to causes beyond our reasonable control, including natural disasters, government actions, or third-party service disruptions.

10. Indemnification

10.1 Customer Indemnification

You agree to indemnify us against claims arising from your use of our services, violation of these Terms, or infringement of third-party rights by your data or content.

10.2 Adaapt.AI Indemnification

We will defend you against third-party claims that our services infringe valid patents, copyrights, or trademarks, subject to the conditions in your service agreement.

11. Termination

11.1 Termination Rights

  • Either party may terminate with notice as specified in the service agreement
  • We may suspend services immediately for security threats or Terms violations
  • Termination does not relieve payment obligations for services already provided

11.2 Effect of Termination

Upon termination, your access to services will cease, and we will delete or return your data as requested, subject to legal retention requirements.

11.3 Survival

Sections regarding payment, intellectual property, disclaimers, and limitations of liability survive termination.

12. Governing Law and Disputes

12.1 Governing Law

These Terms are governed by the laws of India, without regard to conflict of law principles.

12.2 Dispute Resolution

Disputes will be resolved through binding arbitration in Bangalore, India, unless otherwise specified in your enterprise agreement.

12.3 Injunctive Relief

Either party may seek injunctive relief in courts of competent jurisdiction to protect intellectual property or confidential information.

13. General Provisions

13.1 Entire Agreement

These Terms, together with your service agreement and referenced policies, constitute the entire agreement between the parties.

13.2 Severability

If any provision is found unenforceable, the remaining provisions remain in full force and effect.

13.3 Assignment

You may not assign these Terms without our written consent. We may assign our rights and obligations without restriction.

13.4 Waiver

No waiver of any provision constitutes a waiver of any other provision or subsequent waiver of the same provision.

13.5 Notices

Legal notices must be sent to legal@adaapt.ai and will be effective when received.
